1. Agreement to Terms

By accessing and using MastPower's services, purchasing our products, or engaging in any business relationship with us, you agree to be bound by these Terms of Service and all applicable laws and regulations.

These terms apply to all visitors, users, customers, and others who access or use our services, including but not limited to our diesel engines, generator sets, marine propulsion systems, and related spare parts.

All products are manufactured according to international standards and undergo strict quality control processes.

4. Order and Payment Terms

4.1 Order Process

All orders are subject to acceptance by MastPower. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product information, or credit issues.

4.2 Pricing

Prices are quoted in USD unless otherwise specified and are subject to change without notice. All prices are exclusive of taxes, duties, and shipping costs unless explicitly stated otherwise.

4.3 Payment Terms

Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. Alternative payment arrangements may be negotiated for established customers with approved credit terms.

5. Delivery and Shipping

5.1 Delivery Times

Delivery times are estimates and may vary based on product availability, customization requirements, and shipping destination. Standard products typically ship within 15-30 days, while customized solutions may require 45-90 days.

5.2 Shipping Terms

Shipping terms are typically FOB (Free on Board) Shenzhen, China, unless otherwise agreed. Risk of loss passes to the buyer upon delivery to the carrier. International shipping requires proper documentation and compliance with destination country regulations.

5.3 Inspection and Acceptance

Customers must inspect products upon receipt and report any damage or discrepancies within 7 days. Failure to report issues within this timeframe constitutes acceptance of the products.

6. Warranties and Guarantees

Standard Warranty Coverage

MastPower provides a standard 12-month warranty on all diesel engines and generator sets from the date of delivery, covering manufacturing defects and material failures under normal operating conditions.

Warranty Exclusions:

Damage due to misuse, negligence, or improper maintenance
Normal wear and tear components
Damage caused by unauthorized modifications
Environmental damage or force majeure events
Products operated beyond specified parameters

Warranty Claims:

Warranty claims must be submitted in writing with supporting documentation. MastPower reserves the right to inspect products and determine warranty coverage. Remedies are limited to repair or replacement at our discretion.

7. Limitation of Liability

IMPORTANT: MastPower's total liability for any claim arising from or related to our products or services shall not exceed the purchase price of the specific product giving rise to the claim.

In no event shall MastPower be liable for indirect, consequential, special, incidental, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.

8. Intellectual Property

All intellectual property rights in our products, including but not limited to patents, trademarks, copyrights, and trade secrets, remain the property of MastPower and/or our licensors.

Customers may not reverse engineer, disassemble, or attempt to derive the source code of any proprietary software or control systems included with our products without express written permission.

Use of our trademarks, logos, or other proprietary marks requires prior written authorization and must comply with our brand guidelines.

9. Compliance and Regulations

9.1 Export Controls

Our products may be subject to export control laws and regulations. Customers are responsible for obtaining all necessary export licenses and ensuring compliance with applicable trade regulations.

9.2 Environmental Compliance

All products are designed to meet applicable environmental standards. Customers are responsible for ensuring compliance with local environmental regulations and proper disposal of products at end of life.

9.3 Safety Standards

Products are manufactured according to international safety standards. Proper installation, operation, and maintenance are essential for safe operation and warranty coverage.

10. Termination

Either party may terminate ongoing business relationships with written notice. Upon termination, all outstanding obligations remain in effect, including payment for delivered products and warranty coverage for existing purchases.

MastPower reserves the right to immediately terminate relationships in cases of payment default, breach of terms, or illegal activities.

11. Governing Law and Disputes

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

Any disputes arising from these terms or our business relationship shall be resolved through binding arbitration in Shenzhen, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

The arbitration shall be conducted in English, and the decision shall be final and binding on all parties.

12. Modifications

MastPower reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website and communicated to existing customers via email.

Continued use of our services or placement of new orders after modification constitutes acceptance of the revised terms.
